Terms of Service

Welcome to BrightGrid. These Terms of Service ("Terms") govern your access to and use of our double-sided marketplace, software-as-a-service (SaaS) tools, mobile applications, and web portal connecting Homeowners with Home Service Professionals.

Acceptance of Terms

By creating a BrightGrid account (either as a "Homeowner" or a "Service Professional/Business Owner"), clicking "I agree," requesting a service, submitting a quote, or otherwise accessing the BrightGrid platform ("Platform"), you confirm that you have read, understood, and agreed to be legally bound by these Terms and our associated Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue access to the Platform and delete your account. If you are entering into these Terms on behalf of a business entity (e.g., a plumbing company, electrical contractor, or property management firm), you represent and warrant that you possess the legal authority to bind that entity.

Marketplace Roles & Account Responsibilities

For Homeowners

Homeowners use BrightGrid to search directories, submit service requests, review estimates, schedule appointments, and pay invoices. You must provide accurate property locations, authorize service access to your premises, and promptly pay invoices upon job completion as outlined in accepted quotes.

For Service Professionals

Service Businesses use BrightGrid to manage dispatching, workers, time clocks, price books, quotes, and billing. You represent and warrant that you maintain all required state and local contractor licenses, commercial liability insurance, and worker certifications needed to legally perform the services offered.

Platform Neutrality: BrightGrid acts solely as a technology provider and marketplace intermediary. BrightGrid does not directly perform home repairs, employ field workers, or guarantee the quality of contractor craftsmanship unless covered under a specific written BrightGrid Satisfaction Guarantee.

Quotes, Estimates & Service Contracts

  • Digital Quote Acceptance: When a Service Professional sends a quote or estimate through the BrightGrid portal and a Homeowner electronically accepts (or signs) that quote, a direct binding service contract is formed between the Homeowner and the Service Professional.
  • Scope of Work & Change Orders: Any additions, unforeseen structural repairs, or material changes must be agreed upon between the parties via BrightGrid estimate updates, line item additions, or written change orders prior to execution.
  • Cancellations & Rescheduling:Cancellations must adhere to the Service Professional's stated cancellation policy shown on the quote or profile. Homeowners cancelling within 24 hours of a dispatched job may be subject to a standard dispatch fee if specified by the contractor.

Payments, Invoicing & Stripe Processing

BrightGrid utilizes Stripe, Inc.("Stripe") for secure payment processing, merchant onboarding, ACH bank transfers, and credit card settlements.

Payment Processing & Marketplace Fees

By linking a bank account or credit card to BrightGrid, you authorize Stripe and BrightGrid to process charges for approved invoices, subscriptions, or SaaS platform plans. BrightGrid may deduct applicable platform transaction fees or software licensing costs prior to settling payouts into a Service Professional's connected Stripe bank account.

All payment disputes or chargebacks are subject to Stripe's Connected Account Terms and normal financial institution verification workflows.

Worker Time Clocks, Payroll & Geolocation

BrightGrid provides field service management tools including GPS time clocks, job assignment boards, and payroll export utilities (`/business/time-clock` and `/business/payroll-export`).

  • Employer Compliance: Service Businesses using BrightGrid time tracking solely bear the legal burden of complying with federal, state, and local labor laws, minimum wage statutes, overtime calculations, and required meal/rest break documentation.
  • Geolocation Consent: Field workers utilizing mobile time-in/time-out features consent to real-time location capture at the moment of clocking in and out to verify job-site presence.

Disclaimer of Warranties & Limitation of Liability

To the maximum extent permitted by applicable law:

THE BRIGHTGRID PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IN NO EVENT SHALL BRIGHTGRID, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICE INTERACTIONS BETWEEN HOMEOWNERS AND CONTRACTORS.

BRIGHTGRID'S TOTAL CUMULATIVE LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO BRIGHTGRID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Termination & Dispute Resolution

BrightGrid reserves the right, at its sole discretion, to suspend or terminate any account that violates these Terms, engages in fraudulent billing, posts abusive reviews, or operates without required statutory licensing.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved via binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
